We operate the website mahoganykitchens.com (the “Site”), together with any related websites, forms, communication systems, and online services that link to these Terms and Conditions (collectively, the “Services”).

Mahogany Kitchens provides custom cabinetry design, manufacturing, and installation services for residential and commercial projects. Our services may include custom kitchens, closets, wall units, TV units, bathroom vanities, laundry cabinetry, garage cabinetry, bars, home offices, and other custom cabinetry solutions, depending on the scope of each project.

These Terms and Conditions constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Mahogany Kitchens LLC concerning your access to and use of the Services.

By accessing or using the Site or Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.

If you do not agree with these Terms and Conditions, you must discontinue use of the Site and Services.

We may update these Terms and Conditions from time to time. Any revisions will become effective when posted on the Site, as indicated by the “Last Updated” date above.


1. OUR SERVICES

The information presented on our Site is provided for general informational and marketing purposes and is intended to describe the types of custom cabinetry products and services that Mahogany Kitchens may offer.

Specific services, materials, finishes, hardware, design features, project schedules, pricing, installation requirements, and other project details vary based on each individual project.

Nothing displayed on the Site constitutes a binding proposal, estimate, quotation, guarantee, warranty, or agreement to perform specific work unless expressly included in a written agreement issued or approved by Mahogany Kitchens.

Availability of particular materials, finishes, colors, hardware, accessories, and other products may change without notice.


2. PROJECT ESTIMATES, PROPOSALS, AND AGREEMENTS

Any cabinetry project performed by Mahogany Kitchens may be subject to a separate written estimate, proposal, purchase agreement, contract, drawings, specifications, change orders, or other project documents.

Those project-specific documents may establish terms related to, among other things:

  • project scope;

  • materials and finishes;

  • cabinetry specifications;

  • drawings and design approvals;

  • measurements;

  • pricing;

  • deposits and payment schedules;

  • production;

  • delivery;

  • installation;

  • project scheduling;

  • change orders;

  • exclusions;

  • warranties;

  • client responsibilities; and

  • other project-specific requirements.

If there is any conflict between information displayed on this Site and the terms contained in a signed project agreement, proposal, change order, or other written agreement between Mahogany Kitchens and the customer, the applicable written project agreement will control.

Website content, renderings, photographs, examples, descriptions, timelines, and other marketing materials are illustrative and should not be interpreted as modifying the terms of a specific customer agreement.


3. ESTIMATES, DESIGN INFORMATION, AND PROJECT COMMUNICATIONS

Any preliminary estimate, ballpark pricing, design concept, rendering, drawing, recommendation, or other information provided before execution of a final agreement is subject to revision based on final measurements, material selections, finishes, hardware, engineering or installation requirements, site conditions, and the final scope of work.

Estimated timelines are approximate unless specifically stated otherwise in a written agreement.

Custom cabinetry projects may be affected by material availability, special-order items, client approvals, changes in scope, site readiness, construction conditions, third-party work, and other circumstances outside our direct control.


4. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise stated, Mahogany Kitchens owns or licenses the intellectual property associated with the Site and Services, including website designs, text, graphics, photographs, videos, logos, branding, drawings, renderings, and other content (collectively, the “Content”).

The Content is protected by applicable copyright, trademark, intellectual property, and unfair competition laws.

Subject to these Terms and Conditions, you may access and view the Site for personal and non-commercial purposes.

Except as expressly authorized by us, you may not:

  • reproduce;

  • republish;

  • copy;

  • distribute;

  • sell;

  • license;

  • modify;

  • commercially exploit;

5. DESIGNS, DRAWINGS, AND RENDERINGS

Unless otherwise expressly agreed in writing, the delivery or presentation of a drawing, rendering, concept, estimate, or proposal does not automatically transfer ownership of the underlying design or intellectual property rights.

Any specific rights granted to a customer regarding project drawings or designs may be further governed by the applicable project agreement.


6. USER REPRESENTATIONS

By using the Site or Services, you represent and warrant that:

  1. you have the legal capacity to agree to these Terms and Conditions;

  2. information you provide to us is accurate to the best of your knowledge;

  3. you will not use the Site for unlawful or unauthorized purposes;

  4. your use of the Site will comply with applicable laws and regulations; and

  5. you will not attempt to interfere with the operation or security of the Site.


7. PROHIBITED ACTIVITIES

You may not use the Site or Services for any purpose other than legitimate interaction with Mahogany Kitchens or accessing information we make available.

9. REVIEWS AND FEEDBACK

We may provide customers with opportunities to submit reviews, testimonials, ratings, comments, photographs, or other feedback.

Reviews and feedback must reflect genuine experiences and must not contain knowingly false, misleading, unlawful, defamatory, threatening, discriminatory, or infringing content.

We reserve the right to moderate or remove content from platforms controlled by Mahogany Kitchens where permitted by law.

If you voluntarily provide suggestions or general feedback regarding our business or Services, we may use that feedback for legitimate business purposes without compensation unless otherwise agreed in writing.

Use of customer photographs, names, likenesses, testimonials, or project images for marketing purposes may be subject to any additional consent or agreement required by applicable law.


10. SMS TERMS AND CONDITIONS

This section describes how Mahogany Kitchens may communicate with customers and prospective customers by text message.

10.1 SMS Consent

By providing your mobile telephone number and expressly consenting to receive text messages from Mahogany Kitchens through a website form, appointment form, lead form, or another legally permitted consent method, you authorize us to send text messages related to your inquiry, appointment, estimate, project, or other requested communications.

Where required by law, marketing or promotional text messages will only be sent after obtaining the appropriate consent.

Consent to receive marketing text messages is not a condition of purchasing products or services from Mahogany Kitchens.

Termination of access to the Site does not affect any obligations arising from a separate project agreement or contract between you and Mahogany Kitchens.


15. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify, update, suspend, discontinue, or remove content or functionality from the Site at any time without prior notice.

We do not guarantee that the Site will always be available, uninterrupted, secure, or free from errors.

Temporary interruptions may result from maintenance, technical difficulties, hosting issues, software updates, internet outages, third-party services, or other circumstances.

To the fullest extent permitted by law, we are not liable for losses arising solely from temporary inability to access the Site.


16. GOVERNING LAW

These Terms and Conditions and your use of the Site and Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.


17. DISPUTE RESOLUTION

17.1 Informal Resolution

Before initiating formal legal proceedings relating specifically to these Terms and Conditions or use of the Site, the parties agree to make reasonable efforts to resolve the dispute informally.

A party seeking resolution should provide written notice describing the dispute and allow the other party a reasonable opportunity to respond.


17.2 Arbitration

To the extent legally enforceable and unless otherwise governed by a separate written agreement between the parties, disputes arising from these Terms and Conditions or use of the Site that cannot be resolved informally may be submitted to binding arbitration.

Arbitration shall be conducted in accordance with applicable rules of the American Arbitration Association (AAA) or another mutually agreed arbitration provider.

Unless applicable law or an applicable written agreement requires otherwise, arbitration shall take place in Palm Beach County, Florida.

Each party retains any rights that cannot legally be waived or required to be arbitrated.


17.3 Court Proceedings

If a dispute is not subject to arbitration, or if arbitration is determined to be legally unavailable or unenforceable, the parties consent, to the extent permitted by law, to jurisdiction and venue in the appropriate state or federal courts serving Palm Beach County, Florida.

Nothing in this section prevents either party from seeking temporary or injunctive relief where legally appropriate.


17.4 Individual Proceedings

To the fullest extent permitted by applicable law, disputes shall be resolved on an individual basis and not as part of a class, collective, or representative proceeding.

Any provision of this section that is determined to be legally unenforceable shall be severed without invalidating the remaining provisions.


18. CORRECTIONS

The Site may occasionally contain typographical errors, inaccuracies, outdated information, or omissions relating to:

  • product descriptions;

  • services;

  • materials;

  • finishes;

  • pricing;

  • availability;

  • project timelines;

  • locations;

  • photographs;

  • specifications; or

  • other information.

We reserve the right to correct errors, inaccuracies, or omissions and to update information at any time without prior notice.

Website errors do not modify the terms of an executed project agreement.


19. DISCLAIMER

THE SITE AND ONLINE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY LAW.

WE DO NOT REPRESENT OR WARRANT THAT ALL WEBSITE CONTENT WILL ALWAYS BE COMPLETE, CURRENT, ACCURATE, OR ERROR-FREE.

PHOTOGRAPHS, RENDERINGS, FINISHES, COLORS, MATERIAL SAMPLES, DESIGNS, AND PROJECT EXAMPLES DISPLAYED ONLINE MAY APPEAR DIFFERENT FROM ACTUAL MATERIALS OR FINISHED PRODUCTS DUE TO LIGHTING, PHOTOGRAPHY, SCREEN SETTINGS, NATURAL MATERIAL VARIATION, MANUFACTURING TOLERANCES, AND OTHER FACTORS.

PROJECT-SPECIFIC WARRANTIES, IF ANY, ARE GOVERNED BY THE APPLICABLE WRITTEN PROJECT AGREEMENT AND NOT BY GENERAL WEBSITE CONTENT.


20. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAHOGANY KITCHENS AND ITS OWNERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING SOLELY FROM ACCESS TO OR USE OF THE SITE.

THIS LIMITATION DOES NOT ALTER OR REPLACE ANY RIGHTS, RESPONSIBILITIES, WARRANTIES, OR LIMITATIONS OF LIABILITY CONTAINED IN A SEPARATE WRITTEN PROJECT AGREEMENT.

CERTAIN LAWS MAY NOT PERMIT PARTICULAR EXCLUSIONS OR LIMITATIONS. WHERE SUCH LAWS APPLY, THESE PROVISIONS SHALL APPLY ONLY TO THE MAXIMUM EXTENT LEGALLY PERMITTED.


21. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless Mahogany Kitchens and its owners, directors, employees, representatives, and agents from third-party claims, damages, liabilities, losses, and reasonable costs arising from:

  1. your unlawful use of the Site;

  2. your material violation of these Terms;

  3. information or materials you submit without the necessary rights or authorization;

  4. your violation of another person’s intellectual property or other legal rights; or

  5. malicious or fraudulent activity conducted through the Site.

This section does not require a customer to indemnify Mahogany Kitchens for matters for which indemnification may not lawfully be required.


22. USER DATA

We may maintain information transmitted through the Services as reasonably necessary to operate our business, communicate with customers, respond to inquiries, schedule appointments, prepare estimates, coordinate projects, comply with legal obligations, improve our Services, and maintain business records.

Our handling of personal information is further governed by our Privacy Policy.

While we use reasonable administrative and technical measures to protect information, no electronic transmission or storage system can be guaranteed to be completely secure.


23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Site, submitting forms, scheduling appointments, exchanging emails, communicating by text message, and otherwise communicating electronically with Mahogany Kitchens constitute electronic communications.

You consent to receive communications electronically where permitted by law.

Electronic communications, records, approvals, and signatures may satisfy applicable requirements that communications or agreements be in writing, subject to applicable law and the terms of any specific project agreement.

Nothing in this section independently authorizes marketing communications where separate consent is required by law.

25. MISCELLANEOUS

These Terms and Conditions, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing your use of the Site.

These Terms do not replace or modify a separate signed estimate, proposal, purchase agreement, design agreement, change order, or project contract.

If any provision of these Terms is determined to be invalid or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall remain in effect.

Our failure to enforce any provision does not constitute a waiver of that provision.

We may assign our rights and obligations under these Terms as permitted by law.

We shall not be responsible for delays or failures caused by circumstances outside our reasonable control.

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, or agency relationship between you and Mahogany Kitchens.
